Nope, Shades are undead. All the texts from TFL thru GURPS agree on that. Not all undead are immune to the Binding Dream (or other mind-control spells)--just the mindless ones. Shades and Myrmidons have minds that can be controlled; Thrall and Wights and so forth are just extensions of their master.
Given the origins of various undead types, it appears that if you take a being straight from living to undead, like Myrmidons and Shades--or, equivalently, kill and resurrect them instantly--their mind sticks around to some extent. (How much of it stays is probably a function of the necromancer's power and skill.) If you resurrect a fairly fresh corpse, as for instance to make a Ghast, they have (says GURPS) only a few fractured memories and a basic grasp of their native language--though hey, they might just be responding to unconscious cues. :-P And undead made from old corpses, like Thrall, have no mind whatsoever.
