I agree that they most likely knew eachother before phelot got killed and re-animated and the deciever made into a fallen lord. But, about the taking over of shades...
Ok, the magic in shades is in thier soul(or whatever part of them that they have that gives them more power than a thrall), not in their body. This is why they have personalities, they arent mindless corpses like thrall. Taking over powerful individuals takes leveler strength power, and not even balor could keep them all in line all the time. Taking over the mind of any powerful individual will take a lot of power, and thats why I dont think that The deciever and the watcher could fight over "taking him over"
"Winning him over" however, seems very possible. They may have been trying to both convince him to join their side by displays of power, convincing him that the other was weak, ect. (note, this may have happened, but it is possible for phelot to be on the decievers side the whole time, and just pretended to switch sides)
